1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a binding agreement between you and Grandview Capital Lending Inc. By accessing, browsing, submitting an inquiry through, or otherwise using our website located at grandviewcapital.com (the “Site”) or any services offered by Grandview Capital Lending (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Site or Services.

2. Business-Purpose Use Only

The Site and Services are intended solely for commercial and business-purpose use by owners, officers, and authorized representatives of legally established businesses operating in the United States. By using the Services, you represent that:

• You are seeking financing for business or commercial purposes only, and not for personal, family, or household purposes.
• The business is organized and operating in the United States.

The Services are not offered for consumer-purpose financing and are not subject to consumer credit protection laws that apply to personal lending.

3. No Guarantee of Approval or Funding

Grandview Capital Lending does not approve, underwrite, fund, or issue credit. Submitting information through the Site or speaking with a funding specialist does not create an offer, commitment, or guarantee of approval, funding, amount, rate, term, or timing. All financing decisions are made solely by third-party funding providers based on their own criteria. Not all applicants or businesses will qualify.

4. Third-Party Funding Providers

Financing products and related services referenced on the Site or presented to you may be offered, originated, underwritten, funded, and serviced by independent third-party funding providers (“Providers”). Grandview Capital Lending acts solely as a broker that introduces qualified inquiries to Providers and helps applicants understand the options that may be available. You acknowledge that:

• Any financing agreement is entered into directly between you and the applicable Provider.
• Provider terms, fees, rates, disclosures, and conditions are set by the Provider, not by Grandview Capital Lending.
• Grandview Capital Lending may receive compensation from Providers in connection with funded transactions or referrals.
• Grandview Capital Lending does not endorse, warrant, or assume responsibility for the products, terms, conduct, or performance of any Provider.

5. Consent to Electronic Communications

By submitting your information or otherwise contacting us, you consent to receive communications from Grandview Capital Lending and our Providers in electronic form, including by email and through the Site. You agree that electronic notices, disclosures, agreements, and other communications satisfy any legal requirement that such communications be in writing. You may withdraw consent to ongoing marketing emails at any time by using the unsubscribe link in any email or by contacting us.

6. Consent to Telephone Communications

By providing a telephone number, you expressly consent to receive calls from Grandview Capital Lending and our Providers regarding your inquiry, application, and related financing opportunities, including calls placed using an automatic telephone dialing system or an artificial or prerecorded voice. Consent is not a condition of any purchase or service. Standard call and message rates may apply. You may revoke consent at any time by asking to be removed from our calling list.

7. Optional SMS / Text Message Terms

If you opt in to receive text messages, you consent to receive SMS communications from Grandview Capital Lending at the mobile number you provide for purposes including application updates, scheduling, and information about funding options. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to opt out at any time. Carriers are not liable for delayed or undelivered messages. Opting out of SMS will not affect your ability to receive communications by phone or email where separately authorized.

8. Applicant Representations and Accuracy of Information

You represent and warrant that all information you submit through the Site, in any application, or to our specialists is true, accurate, complete, and current, and that you have authority to provide such information on behalf of the business identified. You agree to promptly update any information that becomes inaccurate. Submitting false, misleading, or incomplete information may result in immediate disqualification from financing options, termination of Services, and may carry civil or criminal consequences.

9. Authorization to Verify and Share Information

You authorize Grandview Capital Lending and our Providers to (a) verify your identity and the information you submit; (b) obtain consumer and business credit reports and related background and financial information, including from credit bureaus, banks, and third-party data sources, as permitted by law; (c) share your information with Providers and service partners for the purpose of evaluating your inquiry and presenting financing options; and (d) retain and use your information as described in our Privacy Policy. Credit-related inquiries may be conducted as soft pulls during pre-qualification, with hard inquiries permitted only where separately authorized by you or required by a Provider in connection with a specific offer.

10. Website Use Restrictions

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Submit information about a person or business without authorization.
• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Site, its servers, or related systems.
• Use any robot, scraper, crawler, or automated means to access or extract data from the Site.
• Reverse engineer, copy, modify, or create derivative works of any portion of the Site.
• Upload or transmit malicious code, viruses, or harmful content.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate access to the Site or Services at any time, with or without notice, for any reason, including suspected violation of these Terms.

11. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended business purpose.

12. Disclaimer of Warranties

The Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Grandview Capital Lending disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Site will be secure, free of viruses, or continuously available, or that any information, financing option, or Provider introduction will meet your expectations or requirements.

13. Limitation of Liability

To the fullest extent permitted by law, Grandview Capital Lending Inc and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or other intangible losses, arising out of or relating to your use of the Site, the Services, any Provider introduction or financing decision, or your inability to obtain financing, even if advised of the possibility of such damages. In no event shall our aggregate liability arising out of or relating to the Site or Services exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Grandview Capital Lending Inc and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or Services; (b) information you submit to us or to any Provider; (c) your breach of these Terms or any representation made herein; or (d) your violation of any law or the rights of any third party.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or your use of the Site or Services shall be governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. You agree that the state and federal courts located in Sheridan County, Wyoming shall have exclusive jurisdiction and venue over any such dispute, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will take effect when posted to the Site. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
